1. Use of Services

• Gulu City Directory provides a platform where businesses, business owners, and authorized representatives (“Advertisers”) can publish business listings, advertise their offerings, and connect with potential customers.
• You agree to use the Services lawfully and in compliance with all applicable laws and regulations.

2. User Conduct and Content

• You agree not to post, transmit, or make available any content (“Content”) that is:
  • False, misleading, defamatory, offensive, discriminatory, infringing on rights, unlawful, or invades others’ privacy.
  • In violation of intellectual property rights or any applicable laws.
  • Contains viruses, malware, or any code that disrupts the Website’s operation.
• Advertisers must only submit Content related to businesses they own or are authorized to represent and must not misrepresent ownership or use business names without permission.
• We reserve the right to review, edit, remove, or refuse any Content at our sole discretion.

3. Intellectual Property Rights

• All intellectual property rights in the Website, including text, images, graphics, software, and design, belong to or are licensed by Gulu City Directory.
• By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and publish your Content for operating the Services.
• You warrant that you have the right to grant this license and that your Content does not infringe on any third-party rights.

• The Website is a marketplace platform; we do not provide goods or services directly and do not guarantee the accuracy, quality, legality, or safety of any listings by Advertisers.
• We do not verify users’ identities, qualifications, or the legitimacy of any listings and do not endorse any products or services.
• You acknowledge that any disputes or issues arising from your use of the Website or interactions with others are solely between involved parties.
• To the fullest extent permitted by law, Gulu City Directory disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Our maximum aggregate liability for any claim or loss is limited to fifty thousand Ugandan Shillings (50,000 UGX).

7. Termination and Suspension

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms or for any other reason we consider appropriate.

8. Indemnity

You agree to indemnify, defend, and hold harmless Gulu City Directory, its affiliates, officers, employees, and agents from all claims, liabilities, damages, and expenses arising from your breach of these Terms, your Content, or your use of the Services.

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda.

You agree to submit to the non-exclusive jurisdiction of the courts of Uganda to resolve any disputes.

Continued use of the Website after changes to the Terms signifies your acceptance of the updated Terms.

13. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
